Job Description: The role entails working for financial institutions and large investment banks, supporting the Firm’s equity derivatives and prime services businesses. In addition to this, the person will also need to lead projects from several other sectors including real estate, telecom, healthcare, pharma, energy, media, manufacturing. The person must possess strong interpersonal skills and will be required to have extensive client management experience to be able to lead multiple client engagements. The primary responsibilities include: - Managing teams and workflow in reviewing and analyzing OTC derivative documentation (ISDA and ancillary agreements), repurchase agreements, GMRA, GSLA, prime brokerage documentation (including prime brokerage agreements, securities lending and ancillary agreements) and various other types of agreements forming part of a financial deal. - Overseeing contract abstraction engagements involving review of key data points from a wide variety of documents including Patent License Agreements, IT Procurement Agreements, Web Hosting Agreements, Confidentiality Agreements, Software and Data License Agreements, Vendor Services Agreements, Master Services Agreements, Statements of Work, etc. - Working closely with the SME to understand the nuances of the project and ensuring its successful implementation during the course of the project. - Actively participate in new client onboarding, liaise with sales and client to understand the specific requirements, work closely with in house SMEs to estimate project efforts, prepare proposals, initiate conversations with the relevant stakeholders and act as a bridge between client and the team. - Ensure successful implementation of the project and be responsible for end to end project management including workflow and data management, people management and client management. Lead projects with minimum oversight, be the point person for the client and the project team for general issues. - Lead project teams effectively creating an environment that fosters core values and provide guidance to others. Should be capable of generally achieving the respect of direct reports and junior personnel. - He/she should assume overall accountability of team’s performance and be involved in appraisal discussions. - Innovate and improve upon current processes and techniques. - Be proficient in MS excel, project management tools and techniques, outlook and MS Word. - Documenting quality and leverage use of technologies and analytics in the contract life cycle management environment - Complete client relations / business development training and provides guidance to Director, VPs and Engagement Managers on BD opportunities and strategies - Language/communication skills enable effective escalation and ability to clarify language in documents and contextual meaning and editing on some occasions; Lead client calls; Able to effectively gauge client needs even if not expressly stated; be the main point of contact for internal as well as external representatives in connection with particular projects Candidate Profile: Minimum of 4 years of experience (including time spent with either a corporate house, major law firm or as in-house counsel to a financial institution). - A proven record of completing complex documentation within very tight time deadlines - PMP, Prince 2 or similar certification is desired. - Good analytical and logical skills - Meticulous attention to detail and strong follow-ups - Excellent client service and internal coordination skills as part of a project team. - Ability to collaborate closely with stakeholders from different disciplines, and within a team formed in furtherance to a particular mandate. -
